Who we are and what these Terms cover

Paxika is operated by Paxika Private Limited, a company incorporated in India (CIN U70200HR2024PTC122437) with its registered office at D-26, Jadunath Enclave, Sector 29, Faridabad, Haryana, India (“Paxika”, “we”, “us”). These Terms of Service (“Terms”) govern your access to and use of paxika.com, our early membership programme and every other service we provide under the Paxika name (together, the “Services”).

By creating an account, joining our early-access list, or otherwise using the Services, you agree to these Terms. They include, and should be read with, our Privacy Policy, Cookie Policy, Grievance Redressal Policy and Community and Marketplace Rules. If you do not agree, please do not use the Services.

Eligibility and your account

To use the Services you must:

  • be at least 18 years old and able to enter into a binding contract under Indian law;
  • give accurate, current and complete information, and keep it up to date;
  • hold only one personal account;
  • keep your sign-in details confidential, and tell us promptly at connect@paxika.com if you suspect someone else has used your account.

You are responsible for what happens under your account. We may ask you to verify your email address and mobile number before some features are available. An account is personal to you and cannot be sold, lent or transferred.

Early membership and the pre-launch period

Before Paxika opens to the public, the Services are offered in a limited, pre-launch form. During this period your profile is private: it is visible only to you and to authorised Paxika personnel who need access to run the Services.

  • Features may be added, changed, paused or withdrawn without notice, and we make no commitment about when or in what form Paxika will open.
  • When Paxika opens, a profile that is complete will be published automatically so that others can find it, according to the visibility settings available to you at that time. We will email you when this happens. You may hide or delete your profile at any time, before or after opening.
  • A profile that is incomplete when we open stays private until you finish it.

Your address and membership ID

When you join you may reserve an address of the form paxika.com/people/your-name and you are given a membership ID. An address is a licence to use that name on Paxika while you hold an account; it is not property and does not give you any right in the name outside Paxika.

  • You may not reserve a name to impersonate another person or organisation, to take advantage of a trade mark or well-known name, or to mislead others.
  • We may refuse, change or reclaim an address that breaches these Terms or the rights of others.
  • An address reserved for a profile that is still unfinished is released if the profile is not worked on for thirty days. We email you once, at twenty-one days, before this happens. Your profile and everything you wrote stay, under a placeholder address, and you may claim a new one.
  • Your membership ID is a reference number for support. It does not prove who you are and is not a password.

Your content and the licence you give us

You keep ownership of the information, text, images and other material you submit (“Your Content”). You give us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, format and make available Your Content as needed to operate, secure and improve the Services and to show it to others in line with the visibility you choose. The licence ends when you delete Your Content or your account, except for copies that we must keep by law or that remain in routine backups for a short period, and except for content that others have already shared or that we are required to keep.

You confirm that you have the right to submit Your Content and that doing so does not break the law or the rights of anyone else. We may remove or restrict Your Content if we reasonably believe it breaks these Terms or the law. If you send us ideas or feedback, we may use them without obligation to you.

Acceptable use

You agree not to use the Services to:

  • break any law, or help anyone else to;
  • give false information, impersonate anyone, or create a misleading profile;
  • harass, threaten, abuse or discriminate against others, or publish content that is defamatory, obscene, hateful or that infringes anyone's rights;
  • upload malware, or interfere with or probe the security of the Services;
  • scrape, copy or harvest data by automated means, or bypass rate limits or other protections, except as we expressly allow;
  • send spam or unsolicited commercial messages;
  • reverse engineer or copy the Services, except as the law allows;
  • submit personal data of another person without a lawful basis to do so.

The Community and Marketplace Rules explain these expectations in more detail and what happens when they are broken.

Our role as an intermediary

Paxika is an “intermediary” as defined in the Information Technology Act, 2000. We provide a platform on which members publish information and may connect with one another. Unless we say so expressly, we do not create, verify, endorse or guarantee Your Content or any member's identity, qualifications, intentions or conduct, and we are not a party to any arrangement between members. Please use your own judgement and take your own care before relying on anything on the Services.

We observe the due-diligence duties that apply to intermediaries in India, including acting on valid notices and orders and operating the grievance process described in our Grievance Redressal Policy. Nothing on the Services is legal, financial, tax, investment or professional advice.

Dealings between members

Any engagement, hiring, lease, sale, purchase, collaboration or other arrangement between members is between those members alone. Paxika is not an employer, agent, broker, agency, lender or adviser to either side, and is not responsible for what members do or fail to do. Where payments between members are made outside Paxika, they are your responsibility and are not covered by us.

Fees and taxes

The Services are currently free to use. If we introduce paid features, we will show the price, the applicable taxes (including goods and services tax) and any specific terms before you pay, and your purchase will be subject to them. Unless the law or those terms say otherwise, fees are not refundable.

Our intellectual property

The Services, including the software, design, text, graphics, the Paxika name and logo, and the compilation of the content, belong to Paxika or its licensors and are protected by law. We give you a limited, personal, revocable licence to use the Services for their intended purpose under these Terms. All other rights are reserved. If you believe something on the Services infringes your copyright, follow the process in our Grievance Redressal Policy.

Third-party services and links

The Services rely on, and may link to, services run by others, such as sign-in and verification providers, our email delivery provider, the WhatsApp community and social media platforms. Their own terms and privacy notices apply to your use of them, and we are not responsible for them.

Privacy and communications

How we collect and use personal data is described in our Privacy Policy. By using the Services you agree that we may communicate with you electronically, including by email, about your account and the Services. Messages that are essential to the Services (security, verification, changes to your account, legal notices) cannot be switched off while you hold an account. We will not send you promotional email unless you have asked for it, and you can opt out of it at any time.

Suspension, termination and deletion

You may stop using the Services and delete your account at any time from your account page or by writing to us. We may suspend or end your access, remove content or restrict features if you breach these Terms or the law, if your use creates risk or harm for others or for us, if we are required to by law, or if we stop providing the Services.

When an account ends, the licence in these Terms ends, and we delete or anonymise your personal data as described in the Privacy Policy. Provisions that by their nature should survive (including those on intellectual property, disclaimers, liability, indemnity and disputes) continue after termination.

Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available”, without any warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted or error-free operation. Pre-launch Services in particular may be incomplete, change or be unavailable.

Limitation of liability

To the extent permitted by law:

  • Paxika is not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profit, revenue, goodwill, opportunity or data;
  • our total liability to you for all claims arising out of or relating to the Services is limited to the greater of the amount you have paid us in the twelve months before the claim arose and ten thousand rupees.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence, or any rights you have as a consumer under applicable law.

Indemnity

To the extent permitted by law, you will compensate us for losses, liabilities and reasonable costs arising from a third-party claim that results from Your Content, from your breach of these Terms, or from your breach of the law or of anyone's rights. This clause does not apply to the extent it would take away rights you have as a consumer.

Changes to the Services and to these Terms

We may update these Terms as the Services or the law change. For a material change we will give you notice, usually by email or in the Services, at least fourteen days before it takes effect where that is practical. If you keep using the Services after the change takes effect you accept the updated Terms; if you do not accept them, you should stop using the Services and delete your account.

Notices

We may give you notice by email to the address on your account or through the Services. You may give us notice by writing to connect@paxika.com, or to D-26, Jadunath Enclave, Sector 29, Faridabad, Haryana, India. The registered office is for legal correspondence only.

Governing law and disputes

These Terms and any dispute arising from them or from the Services are governed by the laws of India.

  • We encourage you to raise any concern first through our Grievance Redressal Policy. We will try in good faith to resolve it within thirty days.
  • Subject to the points below, the courts at Faridabad, Haryana have exclusive jurisdiction.
  • If you use the Services for the purposes of a business or profession, any dispute that cannot be settled informally will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by agreement or, failing that, as the Act provides. The seat and venue are New Delhi, and the language is English.
  • If you are a consumer, nothing in this clause removes your right to approach a consumer commission or any court or authority that has jurisdiction under the law, and if you live outside India, the mandatory consumer protections of your country continue to apply.

General

These Terms, together with the documents they refer to, are the whole agreement between you and Paxika about the Services. If a provision is found unenforceable, the rest continues. A failure to enforce a right is not a waiver of it. You may not assign your rights; we may assign ours, for example in a merger or sale of the business, on notice to you. We are not liable for failure or delay caused by events beyond our reasonable control. Only you and Paxika have rights under these Terms. If these Terms are translated, the English version prevails.
